These Terms of Service (“Terms”) are a binding agreement between Novra, LLC (“Novra,” “we,” “us”) and the individual or entity using the Novra platform (“you” or “Customer”). By creating an account, accessing, or using Novra’s website or software (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
1
Eligibility and Responsibility for Professional Compliance
Novra is available to any user, including individuals who are not licensed real estate brokers or appraisers. You are solely responsible for ensuring that your use of the Service, and any output you generate, complies with the licensing, regulatory, and professional-conduct requirements applicable to you in your jurisdiction. Novra does not verify your professional credentials and makes no representation that any output is suitable for use by an unlicensed individual for any particular purpose.
2
Accounts, Organizations, and Workspaces
You must provide accurate registration information and are responsible for activity on your account. Accounts require a work email address.
Users may create or join an organization workspace. Workspace invitations are generally limited to email addresses on the same domain as the inviting member’s work email.
Content uploaded to an organization workspace belongs to and remains controlled by that organization. A user who leaves an organization loses access to that workspace’s content. Chats with Neo are private to the member who started them.
You are responsible for managing who has access to your workspace and for any actions taken by users you invite.
Novra may provide a read-only sample workspace with fictional data so you can explore the Service. Sample data is illustrative only.

Subscription Plans, Billing, and Credits
3.1 Plans
Novra offers the following plans, as described on our pricing page and subject to change as set out in Section 3.6:
Free — $0/month. New verified accounts receive a 14-day reverse trial with Pro features and 150,000 AI credits that expire when the trial ends. No card is required and nothing is charged when the trial ends. Free accounts also receive a one-time grant of 25,000 starter credits that do not expire, 5 free data extractions per month, free automatic extraction of offering-memorandum PDFs during the first 60 days or first 50 PDFs (whichever comes first), one sample Broker Opinion of Value in the sample workspace, 500MB storage, pay-as-you-go credit purchases, and community support. After the trial, the Free plan does not include the email agent, scheduled agent runs, or connections to third-party services (such as Box or Granola), and chats consume credits.
Pro — $99/month or $990/year, per user: 150,000 AI credits per month (unused monthly credits do not roll over), an included monthly chat allowance (Section 3.4.1), the email agent, scheduled agent runs, connections to third-party services at 20 credits per call, additional credits at the Pro per-credit rate, 10 free data extractions per month, 100GB storage, and priority support.
Founding Pro — a limited launch offer on the Pro annual plan: $500 for the first year, available to new subscribers while places remain, limited to the first 250 members. Founding Pro includes everything in Pro, with 200,000 AI credits per month during the first year (unused monthly credits do not roll over). After the first year, the subscription renews automatically at the then-current Pro annual price (currently $990/year) with Pro’s standard monthly credits. The offer may be claimed once per person; if you cancel or let a Founding Pro subscription end, the founding rate cannot be claimed again. Novra may end the offer at any time before all places are claimed; ending it does not affect members who have already claimed it.
Brokerage — $300/month for up to 5 seats plus $49/month for each additional seat, or $3,000/year for up to 5 seats plus $490/year for each additional seat, billed to the organization: 150,000 AI credits per seat per month (minimum 750,000), shared across the workspace; unused monthly credits roll over up to one month’s allotment; an included chat allowance for each member (Section 3.4.1); additional credits at the Brokerage per-credit rate; 10 free data extractions per month per member; 100GB storage per seat (minimum 500GB); and priority support.
Enterprise — custom pricing and terms under a separate written agreement, which controls to the extent it conflicts with these Terms.
3.2 Billing and Auto-Renewal
Paid subscriptions are billed monthly or annually, as selected at checkout, and renew automatically at the end of each billing period unless cancelled. Founding Pro is available with annual billing only. Auto-renewal and the renewal price are disclosed at checkout and confirmed in receipts sent by our payment processor. All payment card information is collected and processed directly by Stripe; Novra does not store your card details.
Automatic credit top-ups. When you save a payment card, automatic top-ups (“auto-recharge”) are turned on: if your credit balance falls below 2,000 credits, or is too low to start a requested task, your card is charged for a credit pack (by default, $10). You can change the threshold and pack, or turn auto-recharge off, at any time in your billing settings.
Brokerage seats. When your workspace has more members than paid seats, the seat count rises to match automatically. Added seats are charged immediately, prorated for the rest of the billing period, and come with a prorated credit grant. Removing a member does not reduce your seat count or your bill: to pay for fewer seats, an admin reduces the seat count in billing settings, which takes effect at the end of the current billing period, with no refund or credit for the remainder of it.
3.3 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; we do not provide prorated or partial refunds for the remainder of a billing period already paid. Credits charged for a task the Service fails to complete (for example, a Broker Opinion of Value run that stalls) may be returned to your balance.
3.4 Credits
Subscription credits are included with your plan each billing cycle (for annual plans, each month). Pro and Founding Pro credits do not roll over and expire at the end of each monthly credit period. Brokerage credits roll over month to month, up to one month’s allotment, while the subscription remains active.
Purchased (top-up) credits are separate from subscription credits, may be bought manually or via auto-recharge, and do not expire, except that all purchased credits are forfeited upon account deletion. Subscribers buy additional credits at their plan’s per-credit rate, shown at purchase.
When multiple credit balances exist, credits with an expiration date are consumed before non-expiring credits, and trial credits are consumed before the permanent starter credit grant.
All credits are prepaid service fees. Credits have no cash value, are non-transferable, and are non-refundable except where required by applicable law or as described in Section 3.3.
On cancellation or downgrade: purchased credits remain available until used (and are forfeited only on account deletion); included subscription credits expire at the end of the billing period in which the change occurs; for organization (Brokerage) workspaces, shared credits remain with the workspace until the workspace is closed or deleted.
Some tasks require a minimum balance to start (for example, a Broker Opinion of Value or a document extraction). If your balance is insufficient, the Service may decline the task, or skip optional steps within it, until you purchase additional credits.
Workspaces without organization-level billing draw on the individual user’s personal credit balance. A single charge is never split between a personal and an organization balance.
3.4.1 Included Chat
Pro, Founding Pro, and Brokerage plans include a monthly allowance for chatting with Neo in the web app: $15 of AI usage per user per calendar month, of which at most 40% may be used in any rolling 7 days and at most $3 in any rolling 24 hours. Trial accounts receive a one-time $10 allowance for the trial period. Chat beyond the allowance, chat with premium models identified in the Service, email-agent and scheduled runs, background work Neo delegates to subagents, web searches (50 credits each), and calls to connected services (20 credits each) consume credits. Novra may adjust these allowances and limits on notice.
3.5 Team and Organization Billing
Brokerage organizations share a single credit pool sized to their seat count. Credit consumption by any workspace member draws from the shared organization balance; each member’s chat allowance and free extractions are individual and are not pooled.
3.6 Changes to Pricing
We may change subscription pricing with at least 30 days’ written notice. Any price change takes effect at your next renewal following the notice period.
3.7 Referral Program
Novra may offer a referral program that rewards you when a person you invite creates a verified Novra account. Where offered:
While your 14-day trial is active, each qualifying referral extends your trial by 7 days, and every second qualifying referral also grants 50,000 promotional credits. After your trial ends, or while you have a paid subscription, each qualifying referral grants 50,000 promotional credits. A referral qualifies only when the referred person completes a verified signup, and at most one reward is granted per referred person, credited to the most recent qualifying referral for that person.
Referrals must be sent to work email addresses of people who do not already have a Novra account. Both direct referral invitations and workspace invitations may count as referrals, and Novra may limit the number of invitations sent per day. When you refer someone, Novra sends them an invitation email on your behalf; you confirm you have a reasonable basis to contact them.
Promotional credits granted under the referral program are credits for all purposes of Section 3.4: they have no cash value, are non-transferable, and are non-refundable, and they are forfeited upon account deletion.
Self-referrals, referrals of fictitious or duplicate accounts, bulk or automated distribution of invitations, and any other abuse of the program are prohibited. Novra may withhold, revoke, or reverse rewards obtained through prohibited conduct.
Novra may modify, suspend, or terminate the referral program — including reward types, amounts, intervals, and eligibility — at any time. Changes do not affect rewards already granted.
4
Customer Content
4.1 Ownership
As between you and Novra, you retain all ownership rights in the property details, financial data, comparables, images, buyer/tenant information, and other materials you upload or input to the Service, including emails you send to Neo and data you bring in from connected services (“Customer Content”), and in the documents and materials the Service generates for you (“Outputs”). Novra claims no ownership of your Customer Content or Outputs.
4.2 License to Novra
You grant Novra a limited, non-exclusive, worldwide license to host, store, process, transmit, and display your Customer Content solely as necessary to provide, secure, support, and improve the Service, including by transmitting relevant portions of Customer Content to the third-party AI model providers and other subprocessors described in our Privacy Policy. Novra does not use Customer Content to train AI models.
4.3 AI Output Characteristics
You acknowledge that outputs generated using artificial intelligence may not be protectable by copyright in all jurisdictions, and that the Service may generate similar or substantially similar outputs for other users based on similar inputs or templates. Novra does not represent that any Output is unique.
4.4 Your Warranties Regarding Uploaded Data
You represent and warrant that:
you have all necessary rights, consents, and authority to upload, use, and process any Customer Content you submit to the Service, including any personal data of third parties (such as tenants, buyers, colleagues, or other contacts) contained in that content, and including data you connect from third-party services;
your use of any third-party data source (including multiple listing service (MLS) data or other licensed data feeds) in connection with the Service complies with the license terms and redistribution restrictions applicable to that data source; and
your upload and use of Customer Content does not violate the rights of any third party or any applicable law.
Novra does not control, verify, or independently confirm the source, accuracy, or licensing status of any Customer Content you upload.
4.5 No Marketing Use
Because you own your Outputs, Novra will not use your Outputs or Customer Content in Novra’s own marketing or promotional materials without your separate, prior written consent.
4.6 Neo, Unattended Runs, and Connected Services
Unattended runs. Neo, the Service’s AI agent, can work on your instructions while you are not present — for example, scheduled runs and replies to email sent to your workspace’s Neo address. Neo may email results to the workspace members you choose. In unattended runs, actions that would require your approval are not taken.
Your responsibility. You are responsible for the instructions you give Neo, for the recipients you select for its results, and for reviewing anything Neo produces or changes before relying on or distributing it. Neo replies only to verified members of your workspace.
Connected services. If you connect a third-party service (such as Box or Granola), you authorize Novra to access the data that service makes available under the permissions you grant and, where you approve it, to save files back to that service. Your use of a connected service remains subject to that provider’s terms. You can disconnect at any time, which revokes Novra’s access.
4.7 Firm Templates
Where Novra makes a brokerage firm’s presentation templates available in your workspace, those templates remain the property of the firm and are provided for use only by the firm’s personnel in workspaces linked to that firm. Access is limited to users with the firm’s email domains. You may not copy, extract, or share firm templates outside those workspaces.
5
AI-Generated Content; Broker Opinion of Value Disclaimer
THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE BROKER OPINIONS OF VALUE, BUYER LISTS, AND OTHER MARKETING MATERIALS. A BROKER OPINION OF VALUE (“BOV”) GENERATED THROUGH THE SERVICE IS NOT AN APPRAISAL AND IS NOT PREPARED IN ACCORDANCE WITH THE UNIFORM STANDARDS OF PROFESSIONAL APPRAISAL PRACTICE (USPAP). IT IS AN ESTIMATE OF PROBABLE SELLING PRICE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS AN APPRAISAL OR AS A SUBSTITUTE FOR INDEPENDENT PROFESSIONAL JUDGMENT.
BY ACCEPTING THESE TERMS OR USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE THAT NO OUTPUT IS AN APPRAISAL, THAT NOVRA DOES NOT PREPARE APPRAISALS, AND THAT NOVRA HAS NO RESPONSIBILITY OR LIABILITY ARISING FROM ANY USE OF, OR RELIANCE ON, ANY OUTPUT AS AN APPRAISAL.
Outputs are generated based on data you provide and general-purpose AI models, which can produce inaccurate, incomplete, or outdated information. You are solely responsible for independently reviewing, verifying, and using professional judgment before relying on or distributing any Output, including before presenting any Output to your own clients or customers.
6
Acceptable Use
You will not use the Service to:
upload content you do not have the right to upload, including data subject to third-party licensing restrictions;
violate any applicable law, including real estate licensing, appraisal, anti-spam, or consumer-protection laws;
misrepresent an Output as a licensed appraisal or as anything other than an AI-generated estimate;
attempt to reverse-engineer, scrape, or interfere with the Service, or to circumvent usage limits, credit charges, or plan restrictions;
direct Neo or the email agent to send unsolicited messages, or attempt to manipulate Neo through instructions hidden in documents, emails, or other content; or
upload malicious code or attempt to gain unauthorized access to any account or system.
7
Third-Party Services
The Service relies on third-party subprocessors to operate, including hosting, database, payment, analytics, error-monitoring, email and agent-inbox, background-job, authentication and bot-protection, AI model, agent-tracing, web-search, mapping, and document-conversion providers, as described in our Privacy Policy. Your use of the Service is also subject to the applicable terms of Novra’s AI model providers, to the extent those terms impose restrictions on end users, and to the terms of any third-party service you choose to connect.
8
Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. NOVRA DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR TRANSACTION.
9
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVRA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. NOVRA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO NOVRA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation does not apply to: (a) your indemnification obligations under Section 10; (b) claims arising from infringement of Novra’s intellectual property; or (c) liability arising from gross negligence or willful misconduct, to the extent such liability cannot be limited under applicable law.
10
Indemnification
You agree to defend, indemnify, and hold harmless Novra and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from or relating to:
any dispute between you and your own client or customer arising from your use, misuse, or distribution of any Output;
any claim that an Output was used, presented, or relied upon — by you or by anyone to whom you provided it — as an appraisal or as a substitute for an appraisal; or
your breach of the data warranties in Section 4.4, including any claim that Customer Content you uploaded or connected violated a third party’s rights or a data source’s licensing terms.
11
Term and Termination
These Terms remain in effect while you use the Service. Novra may suspend or terminate your access for breach of these Terms. You may delete your account at any time from your account settings; deletion takes effect after a 7-day grace period during which you can cancel it, as described in our Privacy Policy. Sections 3.4, 4 through 10, and 13 through 17 survive termination.
12
Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
13
No Professional Services; No Fiduciary Relationship
Novra is a software provider. Novra is not a licensed real estate broker, agent, or appraiser, does not hold a real estate brokerage or appraisal license in any jurisdiction, and does not provide brokerage, appraisal, legal, financial, or other licensed professional services. No fiduciary, advisory, or agency relationship is created between you and Novra by your use of the Service. You remain solely responsible for any professional obligations you owe to your own clients. Novra does not prepare or deliver appraisals, and Novra is not responsible for any use of the Service or any Output as, or in place of, an appraisal.
14
Governing Law; Arbitration; Class Action Waiver
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted by a single arbitrator in New York, New York (or remotely, at the arbitrator’s discretion). Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may bring an individual claim in small claims court instead of arbitration if it qualifies.
YOU AND NOVRA EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Claims must be brought in an individual capacity only.
15
Assumption of Risk; No Reliance
You acknowledge that you have read and understood the AI-output and USPAP disclaimers in Section 5, that you are using the Service and any Outputs at your own risk, and that Novra has not induced you to rely on any Output in place of your own professional judgment or independent verification.
16
Force Majeure
Novra is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including outages of third-party subprocessors, AI model providers, connected services, hosting infrastructure, internet service, or acts of God.
17
Miscellaneous
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Novra regarding the Service and supersede any prior agreements on this subject, except for any separate written Enterprise agreement. If any provision is found unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions remain in full effect. Novra’s failure to enforce any provision is not a waiver of that provision. Novra may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign these Terms without Novra’s consent. Notices to Novra should be sent to notices@getnovra.ai.
